
A Branch Office is a foreign organized corporation that registers in the Philippines under existing foreign laws. A branch office can carry out business activities of the foreign head office and derives income from with in the Philippines.
It is a perfect company structure for foreign companies wishing to transact in the Philippines but not wanting to register a domestic corporation. Since no new organization is being created 100% ownership of the branch office belongs to the foreign entity.
Similar to a Representative Office except it can earn income.

• Name Verification to be completed by Dept of Trade and Industry DTI.
• Submission of Board Resolution authorizing the establishment and creation of the branch office in the Philippines. The board resolution must be translated into English and approved by the Philippines Embassy in the home country of the foreign corporation.
• Submission of financial statements of the parent company certified by a CPA and approved by the Philippines Embassy in the home country of the foreign corporation.
• Authenticated copy of the Articles of Incorporation and By-Laws approved by the Philippines Embassy in the home country of the foreign corporation submitted to Philippines Securities and Exchange Commission (SEC).
• Resident Agent for the branch office (should be a resident of the Philippines).
• Certification of inward remittance for minimum paid-up capital.
